Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Ghost Fitness ("Ghost Fitness", "we", "us", "our") governing your access to and use of the website at ghostfitness.app and all related applications, dashboards, and services (collectively, the "Service"). By creating an account, accessing a coach workspace, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Ghost Fitness

Ghost Fitness is a software-as-a-service platform for fitness coaches, personal trainers, gyms, and their clients. The Service provides coach workspaces, client management, program and workout delivery, workout and progress tracking, invitations, branded client experiences, and optional paid upgrades. Ghost Fitness is a software tool only and does not provide coaching, training, medical, or nutritional services itself.

3. Accounts and Workspace Ownership

To use the Service you must register for an account and provide accurate, complete, and current information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Each coach workspace is owned by the coach, organization, or business that created it. Clients invited into a workspace receive access on terms set by the workspace owner and these Terms.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a coach account.

4. Coach and Client Responsibilities

Coaches are solely responsible for the programs, exercises, nutrition guidance, communications, and any other content they deliver to clients through the Service, and for ensuring such content is appropriate, safe, and lawful for each client. Coaches are responsible for obtaining all required consents from their clients before inviting them into a workspace.

Clients are responsible for consulting a qualified medical professional before beginning any exercise or nutrition program, for accurately reporting health information requested by their coach, and for using the Service in accordance with their coach's guidance and these Terms.

5. Acceptable Use

You agree not to, and not to allow any third party to:

• use the Service to violate any law or the rights of others;
• upload content that is illegal, harmful, harassing, defamatory, or infringing;
• attempt to gain unauthorized access to the Service or other accounts;
• reverse engineer, decompile, scrape, or copy the Service or its underlying technology;
• use the Service to send unsolicited communications or spam;
• resell, white-label, or sublicense the Service except where explicitly permitted by your plan;
• interfere with the integrity, performance, or security of the Service.

6. Subscriptions, Billing, and Paid Upgrades

Ghost Fitness offers a free tier and one or more paid subscription tiers and add-ons ("Paid Plans"). Pricing, billing cycle, and feature limits for each Paid Plan are described at checkout. By purchasing a Paid Plan you authorize us and our payment processors to charge the applicable fees, plus any taxes, to your chosen payment method on a recurring basis until you cancel.

Fees are quoted exclusive of taxes unless stated otherwise. All payments are non-refundable except as expressly stated in our Refund Policy. We may change pricing or plan features from time to time; price changes apply to the following billing cycle and we will provide reasonable advance notice.

7. Free Plan and Client Limits

The free plan is offered subject to client limits, feature limits, and fair-use restrictions described on our pricing page. We may modify those limits over time. When a workspace exceeds its plan limits, certain features may be paused until the workspace is upgraded or brought back within limits.

8. Cancellation

You may cancel a Paid Plan at any time from your workspace billing settings. Cancellation takes effect at the end of the current billing period; you retain paid access until then and will not be charged for the next cycle. Cancelling a workspace does not automatically delete its data — see Section 13.

9. Intellectual Property

Ghost Fitness, including its software, design, brand, logos, and documentation, is owned by Ghost Fitness and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. No other rights are granted by implication.

10. User Content

You retain ownership of the content you upload to the Service, including programs, exercise libraries, media, client data, and messages ("User Content"). You grant Ghost Fitness a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process User Content solely to operate, maintain, secure, and improve the Service and to provide it to you and the users you invite. You represent that you have all rights needed to upload your User Content and that it does not violate any law or third-party right.

11. Health Disclaimer — Not Medical Advice

Ghost Fitness is a software platform and does not provide medical, diagnostic, therapeutic, or professional health advice. Content within the Service, including programs, exercises, nutrition plans, and messages from coaches, is for informational and fitness purposes only and is not a substitute for advice from a qualified physician or licensed health professional. Never disregard professional medical advice or delay seeking it because of something you read or received through the Service. You assume all risk associated with physical activity.

12. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the maximum extent permitted by law.

To the maximum extent permitted by law, Ghost Fitness and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to Ghost Fitness for the Service in the 12 months preceding the claim, or (b) USD 100.

13. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, if required by law, or to protect the Service or its users. You may stop using the Service at any time. Upon termination, your right to use the Service ends immediately. We may retain or delete User Content following termination as described in our Privacy Policy. Sections that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" above and, where the changes are material, provide reasonable notice through the Service or by email. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws applicable at Ghost Fitness's place of operation, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute informally. Any dispute that cannot be resolved informally will be brought exclusively in the competent courts of that jurisdiction, unless mandatory local law in your country of residence requires otherwise.
